Acceptance of Terms

By using the Platform, you affirm that you are at least 16 years old or have the legal capacity to agree to these Terms. If you are accessing the Platform on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

Platform Purpose

Northbridge connects international students with employers to facilitate job opportunities, networking, and career growth. All users are responsible for ensuring the accuracy and legality of the content and actions they perform on the Platform.

User Accounts

• Registration: To access certain features, you must create an account. You agree to provide accurate and complete information during registration and keep it updated.
• Account Security: You are responsible for maintaining the confidentiality of your login credentials. Northbridge is not liable for any unauthorized access to your account.
• Account Termination: Northbridge reserves the right to suspend or terminate your account for any breach of these Terms or misuse of the Platform.

Prohibited Activities

You agree not to:

• Use the Platform for unlawful purposes or activities.
• Submit false or misleading information.
• Post or distribute harmful, obscene, or otherwise inappropriate content.
• Reverse-engineer, decompile, or attempt to extract the source code of the Platform.
• Interfere with or disrupt the Platform’s operations or security.
• Impersonate another person or entity.
• Engage in activities that exploit, harm, or attempt to exploit or harm minors in any way.

Content Guidelines

• User-Generated Content: Users may post content, such as resumes, job listings, and messages. You retain ownership of your content but grant Northbridge a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content within the scope of the Platform.
• Content Monitoring: Northbridge reserves the right to review, remove, or disable access to any content that violates these Terms or is deemed inappropriate at our sole discretion.

Intellectual Property

• Ownership: All content, features, and functionality on the Platform, including text, graphics, logos, images, software, and design, are the exclusive property of Northbridge or its licensors and are protected by applicable intellectual property laws.
• License to Use: Northbridge grants you a limited, non-transferable, and revocable license to use the Platform for its intended purposes. Any unauthorized use of the Platform’s intellectual property is strictly prohibited.

Termination

• Termination by User: You may terminate your account at any time by contacting us.
• Termination by Northbridge: We may suspend or terminate your account immediately, without prior notice, if you breach these Terms or engage in prohibited activities.
• Effect of Termination: Upon termination, your right to access the Platform will cease. Any provisions of these Terms that by their nature should survive termination shall remain in effect.

Violation and Enforcement of These Terms

• Investigation of Violations: Northbridge reserves the right to investigate any suspected violations of these Terms.
• Enforcement Actions: We may take actions to enforce these Terms, including but not limited to:

• Issuing warnings.
• Removing or modifying user-generated content.
• Restricting or suspending access to the Platform.
• Reporting unlawful activities to law enforcement authorities.

• No Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of our rights.

Disclaimer of Warranties

Northbridge provides the Platform on an "as-is" and "as-available" basis. We do not warrant that the Platform will be uninterrupted, error-free, or secure. To the fullest extent permitted by law, we disclaim all warranties, express or implied.

Limitation of Liability

To the extent permitted by law, Northbridge shall not be liable for:

• Any indirect, incidental, special, or consequential damages.
• Loss of data, profits, or revenue arising from your use of the Platform.

Indemnification

You agree to indemnify and hold Northbridge harmless from any claims, damages, losses, liabilities, or expenses arising from your use of the Platform or violation of these Terms.

Third-Party Services

The Platform may contain links to third-party websites or services. Northbridge is not responsible for the content, policies, or practices of third-party websites or services. Accessing third-party websites is at your own risk.

Modification of Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes by posting updates on the Platform. Continued use of the Platform after changes constitutes acceptance of the new Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of the Pennsylvania. Any disputes arising from these Terms shall be resolved in the courts of Pennsylvania.

Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms constitute the entire agreement between you and Northbridge regarding your use of the Platform and supersede any prior agreements or understandings.
